Terms & Conditions of Sale
For business customers buying equipment from us, online or on a quote.
Online ordering is coming soon. Until then, every order is by quote and invoice: we send a quote, you pay the invoice (30-day terms), and we order your equipment once it is paid. These terms apply to those orders.
Summary: we only sell to businesses. Check your delivery before you sign for it and tell us about any damage within 48 hours. Unopened items can come back within 14 days, with a 15% restocking fee. Warranty claims go through us. The equipment is ours until it's paid for. The full terms follow, and they're what count.
1. Who we are and who these terms are for
1.1 These terms apply when you buy goods ("Goods"), such as screens, totems, media players, mounts and accessories, from Knightsoft Media Ltd. We're registered in England and Wales, company no. 08866809, VAT no. GB 195548364, at Cotton Court, Church Street, Preston, Lancashire PR1 3BY ("we", "us").
1.2 We sell to businesses only. By ordering, you confirm you're buying for your business and not as a consumer. If we think an order is from a consumer, we may cancel it and refund any payment.
1.3 Our CMS licences, support, installation and content are covered by our Customer Agreement and SLA, and by any quote you accept. If a quote and these terms differ, the quote applies.
2. Prices and quotes
2.1 Prices on our website and in quotes are shown excluding VAT, unless we say otherwise. VAT is added at the current rate. Prices on our Stripe payment pages include VAT.
2.2 Quotes are valid for 30 days unless they say otherwise. Delivery, installation and other services are priced separately unless the quote includes them.
2.3 Product photos are for illustration. Manufacturers sometimes make small changes to specifications, finishes or packaging; these don't affect your order unless the change is significant, in which case we'll tell you first.
2.4 If we have clearly made a pricing mistake, we'll tell you before we accept your order. You can then go ahead at the correct price or cancel for a full refund.
3. Orders
3.1 Your order is an offer to buy. A contract only exists when we confirm your order by email. We confirm price and availability with our suppliers before we accept.
3.2 If an item is unavailable or delayed, we'll tell you and offer an alternative, a new date or a full refund.
3.3 Orders over £2,000 (ex VAT), and all LED, video wall and installed projects, are made on a quote and invoice rather than online.
4. Payment
4.1 Online orders are paid at the time of ordering, by card or Pay by Bank, through Stripe's secure checkout. We never see or store your card details.
4.2 Orders on a quote are paid by bank transfer within 30 days of our invoice, unless the quote says otherwise. Card or Pay by Bank may also be offered on the invoice. We may ask for payment in full, or a deposit, before we order equipment.
4.3 We order your equipment from our suppliers once your invoice has been paid in full. Delivery and installation dates run from the date we receive payment.
4.4 If you pay late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, at 8% a year above the Bank of England base rate.
5. Delivery
5.1 We deliver to addresses on the UK mainland. We'll quote separately for the Scottish Highlands and islands, Northern Ireland and offshore addresses.
5.2 Unless you've booked our installation, delivery is to the kerbside or doorstep of the address you give. Large items may come on a pallet. Someone must be there to receive and sign for the delivery, and it's up to you to move the goods inside.
5.3 Delivery dates are estimates. We'll keep you informed, but we're not responsible for delays outside our control.
5.4 Deliveries may come directly from our supplier or the manufacturer, in plain packaging.
6. Checking your delivery, damage and shortages
6.1 Please check the number of boxes and their condition before you sign. If a box is visibly damaged, either refuse it or sign the delivery note "DAMAGED" and describe the damage. If you sign without noting damage (or sign "unchecked"), we may not be able to claim from the carrier, and that can mean we can't replace the item free of charge.
6.2 Tell us about any damage, missing items or wrong items within 48 hours of delivery, by email to info@knightsoftmedia.co.uk with photos of the goods and the packaging. Keep all the packaging until we've sorted it out.
6.3 If we accept the claim, we'll arrange a replacement, a repair or a refund for the affected item.
7. Risk and ownership
7.1 The goods are your responsibility (risk passes to you) once they're delivered, or once installation is complete if we install them.
7.2 The goods remain our property until we've received payment in full. Until then, you must keep them safe, insured and identifiable. If you don't pay on time, we may collect them, and you give us permission to enter your premises during business hours to do so.
8. Cancelling an order
8.1 You can cancel an order free of charge before it's dispatched. Once dispatched, clause 9 (returns) applies.
8.2 Special-order, made-to-order and configured items (for example LED screens, video walls, custom-sized or custom-branded items and items ordered specially for you) can't be cancelled once we've ordered them from our supplier.
9. Returns of goods you no longer want
9.1 Because we sell to businesses only, the consumer 14-day cooling-off right doesn't apply. As a goodwill policy, you may return goods you no longer want if all of these apply:
- you ask us within 14 days of delivery and we give you a returns number;
- the goods are unopened, unused and in their original sealed packaging;
- you pay for the return carriage, or we deduct our collection cost; and
- you accept a restocking fee of 15% of the price, deducted from your refund.
9.2 We can't accept returns of special-order, made-to-order or configured items, items that have been installed, or goods worth £75 or less.
9.3 We'll refund within 14 days of the returned goods passing our supplier's inspection.
10. Faulty goods and warranty
10.1 Goods come with the manufacturer's warranty, which we pass on to you. The length and type of cover (for example return-to-base, advance replacement or on-site) depends on the manufacturer and model, and is shown in the product details or your quote.
10.2 Make warranty claims through us. We'll diagnose the fault, remotely where we can, then arrange the repair or replacement under the manufacturer's terms. Faults reported within 48 hours of delivery are handled as dead-on-arrival claims where the manufacturer allows.
10.3 The warranty doesn't cover faults caused by misuse, accidental damage, liquid, power surges, unauthorised repairs, normal wear, or use outside the manufacturer's guidance. That includes running a screen for longer each day than its manufacturer allows.
10.4 Where we installed the goods, our workmanship guarantee in our Customer Agreement also applies.
11. Installation
11.1 Installation is optional and quoted separately. Our standard rate is a fixed £250 per engineer per day, ex VAT, the same whether the job takes an hour or the whole day. You must give us safe access, a suitable wall or surface, power and, where needed, a network connection.
12. Our liability
12.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited or excluded by law.
12.2 Subject to clause 12.1, we're not liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
12.3 Subject to clause 12.1, our total liability for any order is limited to the price you paid for the goods in that order.
13. Recycling electrical equipment (WEEE)
13.1 When equipment you bought from us reaches the end of its life, contact us and we'll explain how to recycle it under the WEEE Regulations.
14. Events outside our control
14.1 We're not responsible for delays or failures caused by events beyond our reasonable control, for example supplier or carrier failures, extreme weather, fire, flood, pandemic, industrial action by others or acts of government.
15. General
15.1 These terms, together with our order confirmation and any quote you accept, are the whole agreement about the goods you buy.
15.2 If a court finds any part of these terms can't be enforced, the rest still applies.
15.3 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
